Terms of Use
Last updated 26 September 2026
These Terms of Use (the "Terms") govern access to and use of RxLoop, a web and mobile platform (the "Platform") on which licensed pharmacies may list, find and arrange the transfer of eligible surplus and near-expiry pharmaceutical stock between themselves. RxLoop connects pharmacies and does nothing more. Everything that is listed, described, agreed, paid for, handed over, received, stored or dispensed is the responsibility of the pharmacies themselves. By applying for an account, registering, signing in, or using the Platform in any way, you and the pharmacy you represent agree to be bound by these Terms and by the Privacy Policy. If you do not agree, do not use the Platform.
1. What RxLoop is, and what it is not
RxLoop is an information and introduction service. It lets one pharmacy publish that it holds stock it is willing to transfer, lets another pharmacy express interest, and lets the two agree a quantity and a price between themselves.
RxLoop is not a pharmacy, a wholesaler, a distributor, a broker, an agent, a carrier, an escrow, a payment service or a party to any transaction. RxLoop never holds, inspects, tests, stores, transports, sells, buys, invoices or takes title to any product. Every transfer arranged through the Platform is a contract solely between the two pharmacies concerned, concluded and performed by them, on their own responsibility, outside the Platform.
RxLoop does not supply, endorse, recommend, approve, certify, check or stand behind any pharmacy, any person, any product, any price or any statement. The presence of a pharmacy or a listing on the Platform, a verification badge, a status, a ranking, a category or the order in which listings appear is a convenience only. It is not a recommendation, not approval and not a warranty of anything.
Nothing on the Platform is medical, pharmaceutical, legal, regulatory, tax or commercial advice. Prices, savings and reference prices shown are calculated from data supplied by pharmacies and from public registers and are provided for information only.
2. Who may use the Platform
The Platform is available only to pharmacies that are licensed and registered to operate by the competent authorities of the country in which they trade, and only through a person authorised to act on the pharmacy's behalf. By applying or registering you confirm that you are such a person, that the pharmacy is so licensed, and that every detail and document you submit is true, complete and current.
RxLoop may open accounts by application and review, by self-registration, or by any other route it chooses, at its sole discretion. Depending on your country, RxLoop may require verification of your pharmacy's registration before you sell, or before you buy and sell. The requirement for your country is shown on the Platform and may change; affected pharmacies are notified when it is tightened. Where it is not required, verification earns a badge only. In every case verification is not a licence check, not a guarantee of anything, and does not transfer any responsibility to RxLoop. RxLoop may ask for further evidence at any time and may refuse, suspend or close an account without giving a reason.
The account, its credentials and everything done through it are the responsibility of the pharmacy. You must keep the password confidential, secure your own devices, network and staff, and tell RxLoop at once of any unauthorised use. Actions taken through an account are treated as the pharmacy's own.
3. Regulatory compliance is yours alone
Each pharmacy is solely responsible for complying with every law, regulation, licence condition, professional rule and instruction that applies to it, including without limitation the laws of the country in which it operates, the requirements of its national medicines regulator, its ministry of health, its pharmacists association, and any rule on the storage, handling, transfer, traceability, labelling, pricing, advertising, record keeping and disposal of pharmaceutical products.
Before listing any product, the selling pharmacy must satisfy itself that the product may lawfully be transferred to another pharmacy, that it is genuine, unexpired, unopened, undamaged, in its original packaging, not subject to a recall, withdrawal or restriction, and that it has been stored throughout in the conditions the manufacturer requires.
Before accepting any product, the buying pharmacy must satisfy itself of all of the same matters by its own inspection. The buying pharmacy accepts stock at its own risk and must refuse anything it cannot verify.
Controlled substances, narcotics, psychotropics and any product whose transfer between pharmacies is restricted or prohibited must not be listed or requested. RxLoop restricts some categories automatically; the absence of a restriction is not a statement that a transfer is lawful.
Where a transfer between pharmacies requires a permit, a record, a notification, an invoice or the involvement of a licensed distributor, obtaining and keeping it is the pharmacies' responsibility, not RxLoop's.
The Platform operates in more than one country. It is each pharmacy's own responsibility to know the law that applies to it and to satisfy itself of the law that applies to the pharmacy it deals with. Nothing on the Platform is a statement that any transfer is permitted, that two pharmacies may lawfully deal with each other, or that stock may be moved between countries. Import, export, customs, pricing controls, electronic commerce rules and every tax, including any sales tax, value added tax, duty or withholding, together with the invoices and records the law requires, are the pharmacies' own responsibility.
4. The accuracy of everything on the Platform is yours
Everything the Platform shows about a product, a price, a quantity, a batch, an expiry date, a photograph, a description, a pharmacy, its name, its address, its area, its distance, its licence or its verification status is supplied by pharmacies themselves or drawn from public registers, and is published as supplied. RxLoop does not check it, is not able to check it, and makes no representation that it is accurate, complete, current, lawful or free of error.
The pharmacy that enters information is solely responsible for it and confirms that it is true, complete and not misleading. It must correct or remove without delay anything that ceases to be correct, including a listing whose stock has been sold, recalled, damaged or moved.
Register data, reference prices, discounts, savings, distances, categories, classifications, Arabic and English names, translations and every automated calculation shown on the Platform are indicative only, may be wrong or out of date, and must not be relied on. Before acting, verify every detail against the product in your hand and against the official sources that apply to you.
Where an automated check, a restriction, a flag, a badge or a warning is shown or is not shown, that is a convenience and nothing more. Its presence is not approval and its absence is not permission. RxLoop is not responsible for any error, omission, false match or missed match in any such check.
5. Originality, condition and fitness of stock are yours
The selling pharmacy is solely responsible for the identity, originality, authenticity, provenance, good shape, quality, condition, integrity, packaging, labelling, storage history, cold chain, temperature excursions, remaining shelf life, batch and serial data, regulatory status and legality of everything it offers, and for the truth of every statement and photograph it publishes about it.
The buying pharmacy is solely responsible for inspecting and satisfying itself of all of the same matters before it accepts, pays for, stores, resells, dispenses or otherwise uses anything, and for everything it does with the stock afterwards, including dispensing it to a patient.
RxLoop never sees, holds, inspects, tests, stores, transports or handles any product. It gives no opinion on whether a product is genuine, safe, fit, correctly stored or lawfully transferable, and it is not responsible for any counterfeit, falsified, substandard, expired, recalled, damaged, contaminated, tampered with, mislabelled, wrongly stored, diverted or stolen product reaching a pharmacy, a patient or anyone else by any route.
Cold chain and special storage are not enforced by the Platform. A pharmacy that lists or accepts a product requiring controlled storage does so entirely on its own judgement and at its own risk.
6. Listings, requests and agreements
A listing is an invitation to make contact, not an offer capable of acceptance. A request or an offer made through the Platform creates no obligation until the two pharmacies have agreed terms directly. RxLoop does not guarantee that any listing is accurate, that any stock exists, or that any transaction will complete.
Quantities, expiry dates, batch numbers, prices and every other detail are entered by the pharmacies themselves. RxLoop does not verify them and is not liable for any error or omission in them.
Price, quantity, payment and its method and timing, delivery, collection, transport, insurance, risk, the passing of title, packaging, returns, replacements, refunds, guarantees, invoicing and every other term are agreed between the two pharmacies and performed by them alone. RxLoop is not a party to that agreement, not a guarantor of it, not an escrow, not an intermediary and not a witness to it. RxLoop does not process payments and does not mediate disputes, though it may use the information it holds to decide whether an account should remain open.
RxLoop does not guarantee that any pharmacy will pay, will deliver, will attend, will act honestly or will perform at all, and is not responsible for non-payment, late payment, non-delivery, short delivery, substitution, theft, fraud, misrepresentation, breach, abandonment or insolvency by any pharmacy.
Contact details are shared between two pharmacies only once they have agreed terms, and may be used only to complete that transaction. The one exception is a request posted under "I need": the pharmacy that posts it agrees, each time, to show its name and telephone number to the pharmacies within the distance it chooses, and that number may be used only to offer it what it asked for.
7. Dealings between pharmacies are entirely their own
Pharmacies deal with each other directly, by telephone, by message, in person and away from the Platform. RxLoop does not supervise, record, moderate or take part in those dealings, and is not responsible for the conduct, words, omissions, honesty, competence or identity of any pharmacy or of any person acting for one.
Any dispute between pharmacies is theirs to resolve between themselves. RxLoop is not a mediator, an arbitrator, an adjudicator or a court. It is under no obligation to intervene, investigate, take a side, hold funds or compensate anyone. Any decision it takes about whether an account stays open is an operational decision only and is not a finding about any dispute.
Each pharmacy is responsible for its own staff, its own premises, its own transport arrangements and its own insurance, and for anything done by a person it allows to use its account.
8. Acceptable use
You must not use the Platform for any unlawful purpose; list or request anything you are not entitled to transfer or receive; provide false, misleading or incomplete information; impersonate any person or pharmacy; use another pharmacy's account; interfere with the Platform's operation or security; scrape, copy, harvest or republish data from the Platform; use contact details obtained through the Platform for any purpose other than completing an agreed transfer or offering a pharmacy what it asked for under "I need"; or use the Platform to compete with it or to build a similar service.
RxLoop may remove any listing, cancel any pending deal, and suspend or close any account that in its opinion breaches these Terms, the law, or the trust of other pharmacies, with or without notice.
9. No warranty
The Platform is provided "as is" and "as available", without any warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement or that it will be uninterrupted, timely, secure or free of errors. RxLoop does not warrant the identity, licence status, conduct or solvency of any pharmacy, nor the existence, originality, quality, condition, safety, legality, storage history or fitness of any product.
Reference prices, discounts and savings shown are derived from public registers and pharmacy-supplied figures that may be out of date or wrong. They are not a quotation, a valuation or a recommendation.
RxLoop does not warrant that the Platform, a search result, a notification, a message, an email or a backup will be available, delivered, timely, complete or preserved, and is not responsible for any consequence of an outage, a delay, a failed or missed notification, lost or corrupted data, a security incident, or an act or omission of any third party.
10. RxLoop bears no responsibility
Without limiting anything else in these Terms, and to the fullest extent permitted by law, RxLoop accepts no responsibility and no liability whatsoever for, and gives no undertaking about, any of the following: the existence, ownership, identity, licence, registration, verification, solvency, honesty, competence or conduct of any pharmacy or person; the accuracy, completeness, currency or legality of any information, document, photograph, description, price, register entry, translation or calculation appearing on the Platform; the originality, authenticity, source, quality, good shape, condition, status, packaging, labelling, storage, cold chain, shelf life, safety, efficacy or fitness of any product; the lawfulness of any listing, request, transfer, movement, importation, exportation, storage or dispensing; the negotiation, conclusion, performance, payment, delivery, invoicing, taxation, return, refund or cancellation of any transaction; any dispute, loss, fraud, theft, misrepresentation, non-performance or insolvency between pharmacies; any harm, injury, adverse reaction, death, recall, seizure, inspection, fine, penalty, prosecution, licence action or professional sanction affecting any pharmacy, person or patient; any failure, error, interruption, delay, loss of data or security incident affecting the Platform or any communication sent through it; and anything done or not done by any pharmacy, person, courier, bank, regulator or other third party.
Everything done on and through the Platform is done by the pharmacies at their own risk, on their own professional judgement and on their own responsibility.
11. Limitation of liability
To the fullest extent permitted by law, RxLoop, its owners, operators, staff and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive loss or damage of any kind, including loss of profit, revenue, business, goodwill, data, stock or patients, and any harm to any person arising from any product, however caused and under any theory of liability, arising out of or in connection with the Platform, any transaction arranged through it, any product transferred as a result of it, any content on it, or any inability to use it.
Without limiting the foregoing, RxLoop is not liable for any regulatory sanction, fine, penalty, licence action, seizure or prosecution suffered by a pharmacy as a result of a transfer it chose to make.
If, despite the above, RxLoop is found liable for anything, its total aggregate liability to a pharmacy for all claims in any twelve-month period shall not exceed the total fees that pharmacy paid to RxLoop in that period, or the equivalent of one hundred United States dollars if no fees were paid, whichever is greater.
Nothing in these Terms excludes liability that cannot be excluded under the applicable law.
12. Indemnity
You and the pharmacy you represent agree, jointly and severally, to indemnify, defend and hold harmless RxLoop, its owners, operators, staff and suppliers from and against every claim, demand, loss, liability, damage, cost and expense, including legal fees, arising out of or connected with your use of the Platform, any listing, request, offer or transaction you make or accept, any product you list, transfer, receive, store or dispense, any breach of these Terms or of any law or regulation, or any claim by a third party, including a patient, a regulator, an insurer or another pharmacy.
13. Availability, change and force majeure
RxLoop may change, suspend, limit or discontinue the Platform, any feature, any market or any account at any time, with or without notice, and is not liable for doing so. RxLoop is not liable for any failure or delay caused by anything beyond its reasonable control, including any network, hosting, power or telecommunications failure, the act of any third party, the act of any regulator or authority, conflict, natural event or epidemic.
14. Suspension, termination and records
RxLoop may suspend or terminate access at any time, with or without notice, for any reason or none. A pharmacy may delete its account itself under Account, or close it by asking RxLoop to do so. Termination does not affect obligations that have already arisen, and sections 1, 3, 4, 5, 7, 9, 10, 11, 12, 15 and 17 survive termination.
RxLoop keeps records of applications, verification documents, listings, deals and account actions for as long as it considers necessary to operate the Platform, to demonstrate compliance, to resolve disputes and to meet legal obligations, and may provide them to a competent authority on request.
15. Intellectual property and data
The Platform, its software, design, names, logos, databases and content, other than the data pharmacies enter about their own stock, belong to RxLoop or its licensors and are protected by law. You receive a limited, revocable, non-exclusive, non-transferable permission to use the Platform for its intended purpose and nothing more.
By entering data on the Platform you grant RxLoop a perpetual, royalty-free licence to store, display, process, analyse and aggregate it in order to operate, secure, improve and report on the Platform. You confirm that you are entitled to provide every photograph, document and detail you upload. Product data comes from public registers and is used under their terms.
The map on which you place your pharmacy is Google Maps, except in Syria, where Google does not offer it, and whenever Google's map cannot load, when it is OpenStreetMap. By using Google Maps on the Platform you agree to be bound by the Google Maps Additional Terms of Service (https://maps.google.com/help/terms_maps.html) and the Google Privacy Policy (https://policies.google.com/privacy).
16. Contact
Questions about these Terms, and any notice, request or complaint, may be sent to [email protected] or through the contact form on the Platform. These are the only contact channels RxLoop operates. RxLoop does not publish a postal address or a telephone number during this phase, and a message sent by any other route may not reach it.
17. General
These Terms and the Privacy Policy are the entire agreement between you and RxLoop about the Platform and replace any earlier understanding. If any provision is held invalid, the rest remains in force, and the invalid provision is to be read as narrowly as is needed to make it valid. RxLoop's failure to enforce a provision is not a waiver of it. You may not assign these Terms; RxLoop may.
RxLoop may change these Terms at any time by publishing a new version on the Platform. Continued use after publication is acceptance of the new version.
These Terms are available in Arabic, English and French. Where the versions differ or are interpreted differently, the Arabic version prevails.
